小香蕉科技 (下文称为“ 小香蕉”) 敬请用户仔细阅读并充分了解软件授权及服务协议 (本“协议”) 。用户应仔细阅读并充分了解本协议的条款,特别是有关豁免或有限小香蕉责任、争议解决及适用法律之条款。请细阅以粗体标示的有关豁免或有限责任的条款。请仔细阅读并选择接受或不接受本协议 (未成年人在阅读本协议时应由其法定监护人陪同)。下载、安装及使用软件,以及获取及登入您的账户,即表示您同意接受本协议并受其条款约束。
小香蕉保留修改本协议的权利。本协议的条款如有更新,将于官方网站或软件上公布,自发布日起生效。用户可在网站重新下载及安装软件,或检视本协议的最新版本。小香蕉修改本协议条款后,如果您不接受修改后的条款,请立即停止使用由小香蕉提供的“小香蕉运动”软件及服务; 用户继续使用小香蕉提供的“小香蕉运动”软件及服务将被视为接受本协议的修订条款。
- 1. 一般条款小香蕉
- 1.1. 本协议是您 (以下称为 “用户”) 与小香蕉及其营运合作伙伴 (以下称为“合作伙伴”) 达成的关于用户下载、安装及使用小香蕉软件“小香蕉运动” (以下称为“软件”) 及使用小香蕉相关服务的协议。
- 1.2. 软件及服务由小香蕉提供,在 ( 包括但不限于) 移动智能终端装置上安装使用,用于同步由小香蕉产品收集的数据并追踪运动信息 。
- 1.3. 软件及服务的所有权及经营权应当归小香蕉所有。
- 2. 软件授权许可范围
- 2.1. 小香蕉授予用户个人的不可转让及非专用的许可以使用软件,但用户没有再授权许可的权利。
- 2.2. 用户可在单一移动终端装置上以非商业用途安装、使用、显示及执行软件。然而,用户不得安装、使用或执行软件进行商业营运。用户不得复制、更改或修改软件任何数据、或软件执行时发送到任何终端装置内存的任何数据,以及软件执行时在客户端及服务器之间产生的交互数据,或使用插件执行软件,或以任何形式建立任何衍生工作 (包括但不限于插件),或通过未经授权的第三方工具 /服务存取软件及相关系统。若您需要以商业目的销售、复制或分发软件,例如软件预安装及捆绑销售,则必须获得小香蕉的书面授权及许可。
- 2.3. 未经小香蕉许可,用户不得将软件安装在小香蕉未明确准许的其他终端装置上,包括但不限于机顶盒、游戏主机、电视、DVD 播放器等。
- 2.4. 用户可以为了使用软件及服务而存储软件副本,但仅能作备份用途。备份副本必须包含原始软件的所有版权数据。
- 2.5. 除非本协议明确授权,否则小香蕉不向用户授予其他权利。如果用户打算使用任何其他权利,应提前取得小香蕉的书面同意。
- 3. 软件获取、安装及升级
- 3.1. 用户应从小香蕉指定的网站或按其指定的方式下载并安装软件。请注意不要在非指定网站下载软件,以防止移动装置感染可能会破坏用户数据及获取用户私隐数据的恶意软件。如果您自未经小香蕉授权的第三方获得与软件相同名称的软件或安装程序,小香蕉不能保证其能正常使用,且小香蕉概不对您因此造成的任何损失承担任何责任。
- 3.2. 用户必须选择与安装的终端装置相符的软件版本。否则,软件版本与装置型号不符而产生的任何软件问题、装置问题或损坏均由用户自行承担。
- 3.3. 为改善用户体验及优化服务内容,小香蕉保留提供软件的更换、修改及升级版本的权利,并保留对更换、修改或升级收费的权利,但此类收费会事先取得您的同意。软件默认为用户启用 “升级提示”功能。根据用户使用的软件版本,小香蕉允许用户决定是否启用上述功能。在软件新版本发布后,小香蕉不保证软件旧版本仍可继续使用。
- 4. 使用规范
- 4.1. 用户使用软件及服务须遵守本协议及法律。用户不得从事下列行为:
- 4.1.1. 删除软件及其他副本的任何版权信息,或修改、删除或规避软件为保护知识产权而采用的技术措施;
- 4.1.2. 对软件执行逆向工程,如破解、反编译或进行其他尝试以获取软件的源代码;
- 4.1.3. 在软件执行时通过修改或伪造指令及数据来增加、删除或更改软件的功能或执行效果,或就上述目的以其他方式操作软件或向公众传播有关方法,无论是否用于商业用途;
- 4.1.4. 使用软件从事对网络安全有害的任何行为,包括但不限于:使用未经授权的数据或存取未经授权的服务器/账户;未经授权存取公共网络或其他操作系统,并删除、修改或添加任何存储的数据;未经授权而企图侦测、扫描或测试软件系统或网络的弱点或进行其他破坏网络安全的行为;试图干扰或破坏软件系统或网站的正常运行,蓄意传播恶意软件或病毒,或执行破坏或干扰正常网络信息服务的其他行为;伪造 TCP/IP 数据包的名称或部分名称;
- 4.1.5. 用户通过并非由小香蕉开发、授权或批准的第三方兼容软件或系统登入或使用软件及服务,或制作、发布或传播上述工具;
- 4.1.6. 未经小香蕉书面许可,用户对软件或其中包含的数据进行任何操作,包括但不限于使用、租赁、借出、复制、修改、建立连结、重制、编辑、发布、出版,建立镜像点或未经授权使用软件开发相关的衍生产品、作品、服务、插件、兼容或互连;
- 4.1.7. 使用软件发布、传输、传播或存储违反国家法律、危害国家安全、祖国统一、社会稳定或公共秩序的内容、或任何不当、侮辱性、淫秽或暴力内容、或违反国家法律和法规的内容;
- 4.1.8. 使用软件发布、传输、传播或存储侵犯他人知识产权及商业机密等合法权利的内容;
- 4.1.9. 使用软件批量发布、传输或传播广告数据或垃圾邮件;
- 4.1.10. 以任何非法的方式、针对任何非法目的或与本协议下的许可使用方式不一致的任何方式,使用小香蕉提供的软件及其他服务;
- 4.2. 资料发布规范
- 4.2.1 您可以使用软件发布您所建立或您有权发布的数据,例如观点、数据、文字、数据、用户名称、图片、相片、个人资料、音频或视讯档案、链接等。您必须保证对所上传的数据拥有知识产权或已获得法定授权,以及您使用软件和服务不会侵犯任何第三方的合法权利或权益。
- 4.2.2 在使用软件时,您必须遵守“七条底线”的要求,即法律法规、社会主义制度、国家利益、公民的合法权利及权益、社会公共秩序、道德风尚及资料的真实性。
- 4.2.3 您不得使用软件进行以下行为,包括但不限于:
- 4.2.3.1 制作、复制、出版、传播或存储违反国家法律和法规的以下任何内容:
- (1) 破坏宪法所确定基本原则的任何内容;
- (2) 危害国家安全、泄露国家秘密、颠覆国家政权、破坏国家统一的任何内容;
- (3) 损害国家荣誉和利益的任何内容;
- (4) 煽动民族仇恨、民族歧视,破坏民族团结的任何内容;
- (5) 破坏国家宗教政策,宣扬邪教或封建迷信的任何内容;
- (6) 散布谣言,扰乱社会秩序,或破坏社会稳定的任何内容;
- (7) 散布淫秽、色情、赌博、暴力、凶杀、恐怖或教唆犯罪的任何内容;
- (8) 侮辱或诽谤他人,侵害他人合法权利及权益的任何内容;
- (9) 煽动非法集会、结社、游行、示威或聚会破坏社会秩序的任何内容;
- (10) 关于以非法非政府组织名义进行活动的任何内容;
- (11) 含有法律、行政法规禁止的任何其他内容。
- 4.2.3.2. 发布、传输、传播 或存储侵犯他人的名誉权、肖像权、知识产权及商业机密等合法权利的内容;
- 4.2.3.3. 捏造事实或隐瞒真相以误导或欺骗他人;
- 4.2.3.4. 发布、传输或传播广告数据或垃圾邮件;
- 4.2.3.5. 从事违反法律和法规、政策、公共秩序、社会道德等的其他行为。
- 4.2.4. 未经小香蕉许可,您不得在软件进行任何商业行为,例如广告、销售商品。
- 4.3 您明白并同意:
- 4.3.1. 小香蕉将判断用户是否涉嫌违反上述使用规范,并根据判断结果暂停或终止向您授予使用许可,或根据本协议采取其他限制措施;
- 4.3.2. 小香蕉将直接删除用户在使用许可软件时发布的任何涉嫌非法或侵犯他人合法权利或违反本协议的数据;
- 4.3.3. 如果您违反上述使用规范而对第三方造成损害,您须以您自身名义独立承担责任,并使小香蕉免受任何由此产生的损失或费用损害;
- 4.3.4. 用户须就其违反有关法律或违反本协议而导致小香蕉产生或蒙受的任何及所有损失、第三方索赔、行政处罚、损害及/ 或费用 (包括合理的律师费、调查及证据收集费用 ) 提供弥偿,并使小香蕉免受损失。
- 5.1. 小香蕉高度重视对个人资料的保护工作。为提供软件功能并提升用户体验,小香蕉将收集以下类型数据:
- 5.1.1. 关于您的资料: 我们可能会收集和使用小香蕉账号、头像、个人签名、昵称、性别、时区、语言及地区数据。该数据将用于建立您的小香蕉账户。
- 5.1.2. 购物相关资料: 使用小香蕉运动购物时,我们将收集您的购物相关资料。该数据将用于处理您的订单,包括但不限于:支付数据、送货数据、银行帐户、账单地址、信用核实及其他财务数据、联络与通讯记录等。
- 5.1.3. 个人身体资料: 启动小香蕉运动后,我们需要您提供生日、身高、体重、性别数据,以计算您的运动结果。
- 5.1.4. 装置记录数据 : 当您使用小香蕉运动同步装置数据时,我们会记录个人资料,包括但不限于活动信息、睡眠、心率、体重、身体组成 (体脂百分比、肌肉重量、水分、基小香蕉础代谢、内脏脂肪水平、骨质含量)。
- 5.1.5. 来电信息: 当您使用来电、短讯提示功能时,您将取得来电、短信状态。若您准许取得来电联络人信息,则将于装置接收来电和短信 时,显示联络人数据。然而小香蕉运动不会存储您的联络人及其他相关信息。
- 5.1.6. 手机信息: 当您使用小香蕉运动时,为确定是否支持您的手机,我们需要取得您的手机 操作系统版本及移动手机品牌型号。
- 5.1.7. 网络使用数据: 我们可能会收集与小香蕉运动特定功能相关的网络类型、网络 信号等。
- 5.1.8. 位置数据: 当您使用基于位置的程序服务或功能时,我们可能会收集您的位置数据。例如,当您通过小香蕉运动跑步功能记录跑步追踪信息时,使用基于位置的广告,使用位置优化天气功能或请求地图信息,您的位置信息或被发送回小香蕉运动,以便小香蕉运动向您提供准确内容。
- 5.1.9. 日志信息: 当您浏览小香蕉运动服务器时,我们的服务器将自动记录若干记录数据,包括但不限于:IP地址、浏览器类型、浏览器语言、参考源页面、操作系统、 时间戳和点击流数据。
- 5.1.10. 设备信息: 当您使用小香蕉运动连接硬件装置 (包括但不限于 ) 该装置的唯一标识符、韧体版本及大概地理位置的数据 (非个人资料 ) 将被发送至服务器。上述数据收集亦可能适用于您的更新系统或软件、恢复原厂设定等。
- 5.1.11. 调试信息: 当您选择上载调试信息协助我们分析问题时,您的调试信息将被传送至服务器。
- 5.2. 作为一家小香蕉生态链公司,我们根据《小香蕉私隐政策》收集、使用并保护您的数据。
- 6. 服务风险与免责声明
- 6.1. 用户必须购买互联网存取所需装置,以及通过移动终端装置使用电讯增值服务,并承担个人移动 终端装置连接互联网产生或第三方 (包括但不限于电讯与移动 通讯运营商) 收取的通讯费用、数据费用和相关开支。如需任何电讯增值服务,建议您与电讯增值服务 运营商确认费用。
- 6.2. 小香蕉或其合作伙伴均无需对用户因第三方原因 (例如通讯网络故障、技术问题、网络或移动终端装置故障、系统失灵及其他各种不可抗力因素 ) 遭受的任何损失承担责任。
- 6.3. 此软件与多数其他互联网软件一样,或会受到部分因素影响,包括但不限于用户原因、网络服务质素、社会环境差异等,亦可能遭到与各种安全问题相关的困扰,例如他人使用用户数据,导致对现实生活造成滋扰; 用户下载或者安装的其他软件,或者用户浏览的其他网站带有“木马程序”及其他病毒,危及用户终端装置数据和数据安全,从而影响该软件的正常使用。用户应加强信息安全与用户数据保护意识,注意加强密码保护,以避免损失及滋扰。
- 6.4. 当用户使用此软件,或要求小香蕉提供特定服务时,软件可能呼叫第三方系统或软件以支持用户的使用或存取。使用或存取结果将由第三方提供。小香蕉不保证 通过支持该系统或软件所取得结果的安全性、准确性及有效性,亦不保证任何其他不确定性风险;如果因此产生任何争议或损失,小香蕉将不承担任何责任。
- 6.5 小香蕉特别敬请客户注意,为保护本公司的业务发展及调整自治,小香蕉有权随时变更或暂停服务,恕不进行通知且无需就此对用户或任何第三方承担任何责任。
- 6.6. 除法律法规明确规定者外,我们将尽力确保该软件和相关技术与信息安全、有效、准确及可靠;基于现有技术限制,用户理解小香蕉无法担保。
- 6.7. 对于因下述原因导致或与其相关的利润损失、数据遗失、经营中断或其他商业损害,用户应就人身伤害、意外事故或后果性损失独家承担责任。相关情形包括但不限于: (1) 使用或者未能使用许可软件;(2) 第三方未经授权使用该软件,或修改用户数据; (3) 用户在使用该软件期间产生的费用和损失;(4) 用户误解该软件; (5) 并非小香蕉原因导致之与该软件相关的其他损失。
- 6.8. 倘若因用户或其他软件用户通过 任何软件采取的行为,或因用户被误导或欺诈导致任何人身伤亡或财产损失,则过错方应承担由此引起的所有责任。
- 7. 知识产权声明
- 7.1. 小香蕉为此软件的知识产权持有人。版权、商标、专利、商业机密等与该软件相关的所有知识产权,以及与该软件相关的所有信息 (包括但不限于文字、图像、音频、视讯、图形、接口设计、配置、数据或电子文件等) 均受中华人民共和国法律及相应国际协议保护。小香蕉拥有上述知识产权。
- 7.2 未经小香蕉事先书面同意,用户不得出于任何商业或非商业目的,独立或允许任何第三方擅自使用或转让任何上述知识产权。小香蕉保留就该等行为追究法律责任的权利。
- 8. 修订
- 8.1. 小香蕉保留不时全权酌情修订本协议条款之权利,任何该等已修订条款将及时公布于相关网页。若您不同意任何修订,您应主动取消相关服务。倘若您继续使用该服务,则视为您接受经修订的协议。
- 8.2. 小香蕉或合作伙伴保留不时全权酌情修改或变更所提供之付费服务、收费标准、收费模式、服务费用或服务条款的权利。在提供服务时,小香蕉可能开始向用户收取目前或未来的某些费用。若用户拒绝支付该等费用,将无法在开始计费之后继续使用相关服务。 小香蕉及合作伙伴将尽其最大努力通过电邮或其他方式通知用户任何修正或调整。
- 9. 适用法律与争议解决
- 9.1. 本协议的有效性及其解释受中华人民共和国内地法律管辖。若不存在相关法律规定,则可参阅国际商业措施及/ 或一般商业措施。
- 9.2. 本协议于北京海淀区签署。
- 9.3. 用户和小香蕉均同意,因该服务引起的所有争议均应首先通过双方磋商解决。若未能通过磋商解决争议,则任何一方均可向本协议签署地点所属地具司法管辖权的法院诉诸该争议。
- 10. 其他事项
- 10.1. 对于该软件的任何特定服务,或存在独立协议及相关商业条款等 ( 以下合称“独立协议”),因此在使用这些特定服务前,请细阅并同意相关独立协议。
- 10.2. 本协议于 2019 年 3月 1日生效。
- 10.3. 本协议所有条款标题仅为方便参考而设,在解释本协议时应予以忽略。
- 10.4. 若本协议任何条款无效或因任何原因变得无效或不可强制执行,则本协议其他条款依然具完全效力,并对本协议双方具有约束力。
Software , Hardware and Service Agreement
This Software , Hardware and Service Agreement (the “Agreement”) is between Bonlala Technology (Shenzhen) Co.,Ltd. (" Bonlala”, “we”, “us” or “our” ) and you as our u ser (“User” , “you” or “your” ) . Bonlala hereby reminds you to carefully read and fully understand this Agreement, before you use the “Bonlala” software (“Bonlala”), other mobile fitness applications developed or distributed by Bonlala, other software, firmware and applications running on Bonlala Devices including related services (collectively, the “Software”) and Bonlala Devices (collectively with the Software, the “Bonlala Service”), in particular the terms relating to the exemption or limitation of Bonlala's liability, dispute resolution and governing laws , and those sections that are underlined and/or in bold, which might exclude or limit a party’s liabilities and/or impose obligations on a party . “ Bonlala Device” means a device that is manufactured, distributed, or sold by Bonlala itself or through its authorized resellers or agents .
Bonlala Service is not directed to children under 16 (and in certain jurisdictions under the age of 13) years of age. If you are under the age of 16 (and in certain jurisdictions under the age of 13 ) , you must have your parent’s permission to access the products and services. Bonlala urges parents to instruct their children never to give out their real names, addresses, or phone numbers, without parental permission, when online.
Bonlala does not seek or intend to seek to receive any personal information from minors. Should a parent or guardian have reasons to believe that a minor has provided Bonlala with personal information without their prior consent, please contact us to ensure that the personal information is removed and the minor unsubscribes from any of the applicable Bonlala Service. If we learn that we have collected any personal information from children under 16 (and in certain jurisdictions under the age of 13 ) and we do not obtain permission from a parent, we will promptly take steps to delete such information and terminate the minor’s account.
- 1.Agreement to the Terms ; Amendments
- 1.1 By downloading, installing and using the Software or otherwise connecting or using the Bonlala Service , you agree to accept this Agreement and to be fully bound by its terms. If you do not agree with the terms of this Agreement in whole or in part, then you are not permitted to, and you agree not to, access to or use the Bonlala Service .
- 1.2 Bonlala reserves the right to amend this Agreement from time to time at its sole discretion. Any amendments will be published on our website or to the Software, and become effective from the date of publication. After Bonlala has amended the terms of this Agreement, if you do not accept the amended terms, you are not permitted to use theBonlala Service anymore and you agree to immediately discontinue using of the Bonlala Service. Bonlala will use commercially reasonable efforts to notify you before Bonlala make s material changes to this Agreement, by email or otherwise. Your continued use of the Bonlala Service will be deemed acceptance of the amended terms of this Agreement .
- 2.Scope of Software Licensing
- 2.1 Bonlala grants the User a personal, revocable, non-transferable, non-sublicensable, and non-exclusive license to use the Software in accordance with the terms of this Agreement .
- 2.2 The User can install, use, display and run Software on a single device for non-commercial purposes. T he User agrees not to install, use or run the Software for commercial purposes. The User also agrees not to copy, alter , adapt, translate, lease, assign, publicly display, publicly perform, modify or otherwise exploit ( i ) the Software, (ii) any data released to the memory of any device during the operation of the Bonlala Service , or (iii) the interactive data generated between the client and the server during the operation of the Bonlala Service . In addition, the User agrees not to run the Software with unauthorized plug-ins, or create any derivative work in any form, including plug-ins, and the User agrees not to access the Software and related systems through unauthorized third-party tools/services. If you need to sell, copy or distribute the Software commercially, e.g. software pre-installation and bundling, you must obtain the prior written authorization and license from Bonlala .
- 2.3 Without the permission of Bonlala, the User agrees not to install the Software on other types of devices that are not expressly permitted by Bonlala , including set-top boxes, game consoles, televisions, and DVD players.
- 2.4 The User may make a copy of the Software for backup purpose s only. The backup copy must incorporate all the proprietary rights notices incorporated in the original Software.
- 2.5 Except as expressly authorized by this Agreement or otherwise agreed to by Bonlala in writing , Bonlala does not grant other rights to the User with respect to the Software.
- 3.Software Installation and Upgrading
- 3.1 The User shall download and install the Software from the website designated by Bonlala , from an official app store or distribution platform (like the Apple App Store or Google Play Store ) where the Software may now or in the future be made available, or in another manner designated by Bonlala. The User shall not download the Software from any unauthorized websites or distribution platforms. You acknowledge that downloading the Software from an unauthorized website or distribution platform may affect the operations of the Software or infect your mobile devices with malicious programs that can destroy your data and compromise your sensitive personal information. Bonlala accepts no liability for any loss thereby caused to you in connection with downloading the Software from any unauthorized websites or distribution platform .
- 3.2 You may only connect to the Software using a Bonlala Device.
- 3.3 The User must select the Software version that matches the Bonlala Device on which the Software is installed. Any software problems, device problems or damages resulting from a mismatch between the Software version and the device model shall be solely assumed by the User.
- 3.4 Bonlala reserves the right from time to time and at its sole discretion to provide a replacement , modified and upgraded version of the Software available to Users . Bonlala reserves the right to charge for such replacement, modification or upgrade however Users must ( i ) consent to such changes and (ii) install the replacement , modified or upgraded version of the Software. Bonlala reserves the right to charge a fee for access to and use of certain features of the Software and Users will be notified of such fees in advance if such fees becoming effective and will be given an opportunity to agree to payment of such fees . In providing the Software, Bonlala may charge Users now or in the future. If the User refuses to pay such fees, the User will not be able to continue using relevant features of the Software.
- 3.5 Software will enable "upgrade prompt" feature by default for the User .
- 3.6 After a new version of the Software is released, all earlier versions of the Software will be unsupported and may eventually stop to operate. Bonlala does not guarantee the security, continuous operation or customer services for any unsupported versions.
- 4.Creating an Account
- 4.1 Full use of the Bonlala Service requires that you create an account (the “Account”) or through certain third-party services providers such as Facebook or Google (each, a “Third Party Account”). We’ll create your Account by extracting from your Third Party Account certain personal information such as your name and email address and other personal information that your privacy settings on the Third Party Account permit us to access. You are responsible for all activities that occur in association with your Account. We are not liable for any loss or damages caused by your failure to maintain the confidentiality of the credentials of your Third Party Accounts. Please notify the relevant third party services provider immediately if you discover or suspect any security breach related to your Third Party Account s .
- 5.Usage Specifications
- 5.1 The User may only use the Bonlala Service in accordance with this Agreement and applicable laws. The User is not permitted to and agrees not to commit the following acts:
- 5.1.1.Delete any copyright information displayed or otherwise included in the Software, or modify, delete or circumvent the technical measures set by the Software for the protection of intellectual property rights;
- 5.1.2.Reverse engineer, decompile, disassemble , modify, or otherwise attempt to obtain the source code of the Software ;
- 5.1.3.Use our name, any trademark or logo, proprietary information or any Bonlala Content, without our express written consent;
- 5.1.4.Access non-public areas of the Software or our computer systems;
- 5.1.5.Modify the Software by modifying or forging the instructions and data during the operation of the Software, or otherwise operate or disseminate the Software to the public, whether or not for commercial purposes;
- 5.1.6.Use the Software to commit any acts detrimental to network security, including using unauthorized data or access to unauthorized servers/accounts; unauthorized access to public networks or the operating system of others and delete, modify or add any information stored; unauthorized attempts to detect, scan or test the Software system or network weaknesses or do other things that harm network security; interfering or attempting to interfere with the normal operation of the Software system or website ; deliberately spreading malicious programs or viruses; carrying out other acts that destruct or interfere with normal network information services; or forging the name or partial names of TCP/IP data packet;
- 5.1.7.Log in or use the Software through third party software or systems not developed, authorized or approved by Bonlala, or make, publish or disseminate such third party software or systems ;
- 5.1.8.Copy, modify or create derivative works based on the Software (including Bonlala Content) ;
- 5.1.9.Distribute, transfer, sublicense, lease, lend or rent the Bonlala Service to any third party;
- 5.1.10. Use the Bonlala Service to produce, reproduce, publish, transmit, disseminate or store any content that violates local laws and regulations;
- 5.1.11. Use the Bonlala Service to produce, reproduce, publish, transmit, disseminate or store any content that infringes the legitimate rights such as intellectual property rights and trade secrets of others;
- 5.1.12. Use the Bonlala Service to produce, reproduce, publish, transmit or disseminate any content that incorporates advertising information , promotional material, junk mail, spam or a contest or sweepstake s ;
- 5.1.13. Use the Bonlala Service and other services provided by Bonlala , in a manner that violate any local laws and regulations , for any unlawful purpose or in any manner inconsistent with the licensed usage under this Agreement;
- 5.1.14.Provide false information to the Software;
- 5.1.15.Spread false or disparaging statements to mislead or deceive others, or to harm the goodwill of the Bonlala Service , Bonlala or its affiliates;
- 5.1.16.Commit any activities which harm or attempt to harm Bonlala Service ;
- 5.1.17.Impersonate or misrepresent your affiliation with Bonlala or our affiliates;
- 5.1.8.Copy, modify or create derivative works based on the Software (including Bonlala Content) ;
- 5.1.9.Distribute, transfer, sublicense, lease, lend or rent the Bonlala Service to any third party;
- 5.1.10.Use the Bonlala Service to produce, reproduce, publish, transmit, disseminate or store any content that violates local laws and regulations;
- 5.1.11.Use the Bonlala Service to produce, reproduce, publish, transmit, disseminate or store any content that infringes the legitimate rights such as intellectual property rights and trade secrets of others;
- 5.1.12.Use the Bonlala Service to produce, reproduce, publish, transmit or disseminate any content that incorporates advertising information , promotional material, junk mail, spam or a contest or sweepstake s ;
- 5.1.13.Use the Bonlala Service and other services provided by Bonlala , in a manner that violate any local laws and regulations , for any unlawful purpose or in any manner inconsistent with the licensed usage under this Agreement;
- 5.1.14.Provide false information to the Software;
- 5.1.15.Spread false or disparaging statements to mislead or deceive others, or to harm the goodwill of the Bonlala Service , Bonlala or its affiliates;
- 5.1.16.Commit any activities which harm or attempt to harm Bonlala Service ;
- 5.1.17.Impersonate or misrepresent your affiliation with Bonlala or our affiliates;
- 5.1.18.Conduct any activities or produce, reproduce, publish, transmit or disseminate any content which Bonlala has reason to believe are inappropriate; and
- 5.1.19.Encourage or enable any other individuals to do any of the foregoing.
- 5.2 Information Publication Specifications
- 5.2.1. We may permit you to use the Bonlala Service to publish information such as views, data, text, information, user names, pictures, photos, personal information, audio or video files, links and so on that are created by you or that you have the right to publish (collectively, the “ User Content ”) . Without limiting the generality of the foregoing, User Content also includes information and data generated by the Software directly based on User’s activities such as step count, heart rate, sleep hours and calorie bur n ed and that is directly associated with the User. Subject to the license that you grant to us in accordance with Section 5.2.2 , you retain all rights to the User Content. You represent and warrant that you have all rights to grant us the license rights in your User Content under this Agreement . You also represent and warrant that neither your User Content, nor your use and provision of your User Content, nor any use of your User Content by Bonlala on or through the Bonlala Service will : ( i ) infringe, misappropriate or violate any third party’s intellectual property rights, or rights of publicity or privacy; (ii) result in the violation of any applicable law or regulation ; (iii) be obscene, defamatory, pornographic or otherwise offensive; (iv) promote violence, discrimination, racism, bigotry, hatred, harassment or harm against any individual or entity; or (v) promote any illegal or harmful activities or substances. You are solely responsible for all your User Content. Bonlala may, in its sole discretion, modify or delete any of User Content, and may temporarily or permanently refuse to permit you to publish, transmit or disseminate any User Content.
- 5.2.2. By making any User Content available through the Bonlala Service, you hereby grant to Bonlala a non-exclusive, irrevocable, perpetual, transferable, worldwide, royalty-free license, with the right to sublicense, to use, copy, modify, distribute, translate, publicly display and publicly perform your User Content , in whole or in part, in connection with ( i )operating and providing the Bonlala Service to you and to other users of the Bonlala Service , and (ii) the creation of an anonymized, aggregate dataset which Bonlala can use to improve the Bonlala Service and which will not be personally identifiable to you, as an individual User. To the extent that any User Content constitutes Personal Information as defined in the Privacy Policy, our collection , disclosure and use of such User Content will be in accordance with our Privacy Policy.
- 5.2.3. Without the permission of Bonlala, you shall not carry out any commercial conduct through the Bonlala Service , such as advertising and selling merchandise.
- 5.2.4. Bonlala respects copyright law and expects its users to do the same. It is Bonlala ’s policy to terminate in appropriate circumstances users who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders. Please see our Copyright Policy for further information .
- 5.3 YOU AS A USER SHALL INDEMNIFY, DEFEND AND HOLD Bonlala, ITS AFFILIATES, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS, HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, THIRD-PARTY CLAIMS, ADMINISTRATIVE PENALTIES, DAMAGES AND/OR EXPENSES, INCLUDING REASONABLE ATTORNEY FEES, INVESTIGATION AND EVIDENCE COLLECTION COSTS, ARISING OUT OF OR IN ANY WAY CONNECTED THE USER’S USE OF THE Bonlala SERVICE , USER CONTENT AND THE USER'S VIOLATION OF RELEVANT LAWS OR BREACH OF THIS AGREEMENT.
- 6. Privacy Policy and Personal Data Protection
- 6 .1. It is important for Bonlala to protect your personal data. In order to provide the Bonlala Service and improve user experience, Bonlala will collect certain types of data as state d in our Privacy Policy. By accessing or using the Bonlala Service, you agree that we can collect, use and protect your data in accordance with our Privacy Policy.
- 7.Service Risk and Disclaimer
- 7.1 The User agrees to bear the communication fees, information fees and related costs incurred in connection with accessing the Internet from the User’s mobile devices including the Bonlala Devices used to access the Bonlala Service, including applicable fees and costs charged by third parties ( such as telecommunications and mobile communication providers).
- 7.2 Bonlala is not liable for any loss suffered by the User due to reasons attributable to third parties such as communication line failure, technical problem, network or mobile terminal device failure, system instability and other various force majeure factors.
- 7.3 The functionality of the Bonlala Service, may be impacted by factors out of control of Bonlala, including user operations, network service quality, social environment differences, social engineering, and computer virus es. You agree to safe guard your mobile device, Bonlala Devices, user data and password, and you agree to use best practices to create and manage your password to avoid data loss and harassment.
- 7.4 The Bonlala Service may make available to you content, promotions, websites, apps, services and resources provided by third parties (collectively, “Third Party Services”), including links to third-party websites or resources. We do not control, endorse or adopt any Third-Party Services, do not guarantee the safety, accuracy and effectiveness of the Third-Party Services, and will have no responsibility for any Third Party Services including material that may be misleading, incomplete, erroneous, offensive, indecent or otherwise objectionable. You agree to assume all risks in connection with your interaction with or use of any Third-Party Services. You also acknowledge that this Agreement does not apply to any Third-Party Services. You are responsible for reading and understanding the terms and conditions and privacy policy that applies to your use of any Third-Party Services.
- 7.5 We will use commercially reasonable effort to ensure that the Bonlala Service and the technology and information involved are safe, effective, accurate and reliable; however, you accept and acknowledge that THERE ARE INHERENT RISKS ASSOCIATED WITH UTILIZING AN INTERNET-BASED SOFTWARE SERVICE AND THAT Bonlala CANNOT GUARANTEE THE SAFETY, EFFECTIVENESS, ACCURACY OR RELIABILITY OF THE SOFTWARE. YOU AGREE TO USE THE SOFTWARE AT YOUR OWN RISK .
- 7.6 TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE LAW, Bonlala AND ITS AFFILIATES DISCLAIM ALL LIABILTY WITH RESPECT TO ANY PERSONAL INJURIES OR INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF REVENUE, LOSS OF PROFIT, LOSS OF DATA, BUSINESS INTERRUPTION OR OTHER DAMAGES ARISING OUT OF OR IN CONNECTION WITH: (1) THIS AGREEMENT; (2) THE USE OR FAILURE TO USE THE Bonlala SERVICE ; (3) UNAUTHORIZED USE OF THE Bonlala SERVICE OR MODIFICATION OF THE USER'S DATA BY A THIRD PARTY; (4) COSTS AND LOSSES INCURRED BY THE USER DURING USE OF THE Bonlala SERVICE; (5) MISUNDERSTANDING BY THE USER OF THE Bonlala SERVICE; (6) OTHER LOSSES IN CONNECTION WITH THE Bonlala SERVICE FOR REASONS NOT ATTRIBUTABLE TO Bonlala, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT Bonlala OR ANY OTHER PARTY HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES . NOTWITHSTANDING ANY PROVISION IN THIS AGREEMENT TO THE CONTRATY, TO THE MAXIMUM EXTENT PERMITTED BY THE APPLICABLE LAW, IN NO EVENT WILL Bonlala’s TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR FROM THE USE OF OR INABILITY TO USE THE Bonlala SERVICE , FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY, EXCEED FIFTY DOLLARS ($50). THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN Bonlala AND YOU .
- 7.7 EXCEPT FOR ANY PRODUCT WARRANTIES WITH RESPECT TO ANY Bonlala DEVICES THAT Bonlala EXPRESSLY PROVIDES IN WRITING IN SEPARATE AGREEMENTS WITH THE USERS: (I) THE Bonlala SERVICE INCLUDING ANY RELEVANT SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTY OF ANY KIND ; AND (II) Bonlala EXPLICITLY DISCLAIM S ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
- 7.8 IF YOU HAVE A MEDICAL CONDITION, CONSULT YOUR DOCTOR BEFORE USING THE Bonlala SERVICE . WE ARE NOT RESPONSIBLE FOR ANY HEALTH OR MEDICAL PROBLEMS THAT MAY RESULT FROM YOUR USE OF THE Bonlala SERVICE .
- 8.Intellectual Property Rights
- 8.1 Bonlala owns all right, title and interest in and to the Software ( which, for the avoidance of doubt, includes the Bonlala Content ) , including copyright, trademark, patent, trade secret and any other intellectual property rights therein .
- 8.2 You acknowledge that the Bonlala Service including any underlying technology are protected by local laws and regulations and corresponding international treaties. You agree not to remove, change or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Bonlala Service. “ Bonlala Content ” means text, graphics, images, software, audio, video, works of authorship of any kind, data, and information or other materials that are, either directly or indirectly, posted, generated or otherwise made available to you through the Bonlala Service but excluding the User Content.
- 9.Feedback
- 9.1 We welcome feedback, comments and suggestions f or improvements to the Services (the “Feedback”). You can submit Feedback through the Software . You grant to us a non-exclusive, transferable, worldwide, perpetual, irrevocable, fully-paid, royalty-free license, with the right to sublicense, under any and all intellectual property rights that you own or control to use, copy, modify, create derivative works based upon and otherwise exploit the Feedback for any purpose.
- 10.Enforcement
- 10.1 Although we a re not obligated to review or edit any User Content, we have the right to do so for the purpose of operating the Bonlala Service , to ensure compliance with this Agreement and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to the Bonlala Service (including anyBonlala Content or User Content ) , at any time and without notice, including if we, at our sole discretion, consider any User Content to be objectionable or in violation of this Agreement. We have the right to investigate any actual or potential breach of this Agreement.
- 11.Cancellation, Suspension or Termination of Software
- 11.1 We may, at its sole discretion, cancel, suspend or terminate your access to and use of all or any part of the Bonlala Service, at any time and without notice or liability to you. Without limiting the generality of the foregoing, we may terminate your access to the Software and delete all related information and files (including User Content) .
- 11.2 Upon any cancellation, suspension or termination of the Bonlala Service , the following Sections of this Agreement will survive: 1.1 , 2.2 , 2.3 , 5 , 6 , 7 , 8 , 9 , 10 , 11.2 , 12 and 13 .
- 12.Applicable Law and Dispute Resolution
- 12.1 The validity and interpretation of this Agreement shall be governed by the laws of the People's Republic of China. In the absence of relevant legal provisions, reference may be made to international business practices and/or business practices.
- 12.2 Both the User and Bonlala agree that any dispute arising from the Software shall first be settled informally through good faith consultations. If no settlement can be reached through such consultations, either the User or Bonlala may submit the dispute to the court of competent jurisdiction in Shenzhen City, Guangdong Province , People’s Republic of China .
- 13.Miscellaneous
- 13.1 For any specific service of the Bonlala Service , there may be a separate agreement and related business rules, etc. (hereinafter collectively referred t o as the "separate agreement"). Unless a separate agreement provides otherwise, such separate agreement is subject to the terms and conditions of this Agreement. Please read and agree to relevant separate agreement before using such specific service.
- 13.2 You may not assign or transfer this Agreement, in whole or in part, by operation of law or otherwise, without the prior written consent of Bonlala. Any attempted assignment by you without such consent will be void. Bonlala may freely assign or transfer this Agreement , in whole or in part, by operation of law or otherwise, without any prior notice to you or your prior consent. Subject to the foregoing, this Agreement will bind and benefit the parties and their respective successors and assigns.
- 13.3 This Agreement is last updated on the date set out on the first page of this Agreement .
- 13.4 The headings to all the terms of this Agreement are for ease of reference only and shall be ignored in interpreting this Agreement. In this Agreement, unless the context indicates a contrary intention, use of the words “includes” or “including” or the abbreviation “e.g.” means “including, without limitation”, and the term “such as” will mean “such as without limitation”.
- 13.5 If any provision of this Agreement is or becomes invalid or unenforceable for whatever reasons, the remaining provisions hereof shall remain in full force and effect and binding upon the parties hereto , and the provisions affected will be construed so as to be enforceable to the maximum extent permissible by law .
- 13.6 Our failure to enforce any provision of this Agreement will not constitute a waiver of future enforcement of that or any other provision .
- 13.7 his Agreement constitutes the entire and exclusive agreement between the parties pertaining to the subject matter hereof, and supersede any and all prior agreements, communications, and understandings (both written and oral) regarding such subject matter.
